- Capex for new chemical plant
- Rs. 70 crores for new chemical plant at Unit-5, Lote Parshuram
- Promoter convertible warrants
- Up to 8,54,060 fully convertible warrants at Rs. 526.90 each
- Authorised share capital
- Raised to Rs. 34 crore by creating 5,00,000 more equity shares
The board met on 2nd November, 2026 and approved a plant expansion, a promoter fund infusion and a larger authorised share capital, alongside the September-quarter results.
The expansion
- A new chemical plant at Unit-5, at D-10, MIDC Lote Parshuram, Taluka Khed, Dist. Ratnagiri, Maharashtra.
- Capital expenditure of Rs. 70 crores, to be spent within the parcel of land already available at the site.
- The update states the fund raising below is being done in view of this expansion.
The promoter warrant issue
- Up to 8,54,060 fully convertible warrants, on a preferential basis, to Mr. Punit Gopikishan Makharia, Promoter, Chairman and Managing Director.
- Each warrant entitles the holder to subscribe to one equity share of face value Rs. 10 each.
- Price: Rs. 526.90 per warrant, or a price not lower than the minimum price determined under Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.
- Because it is a preferential issue, the shares go to one identified person rather than to the public, and shareholder approval is needed.
Authorised share capital
- Existing: Rs. 33,50,00,000 divided into 3.35 crore equity shares of Rs. 10 each.
- Proposed: Rs. 34 crore divided into 3.4 crore equity shares of Rs. 10 each.
- The increase is by creation of an additional 5 lakh equity shares of Rs. 10 each, with a consequential amendment to the Memorandum of Association.
Authorised capital is the ceiling up to which a company may issue shares; it is not the same as shares actually issued. Raising it creates headroom for issuing shares later, including on conversion of warrants.
Extra-ordinary General Meeting
- To be held on Wednesday, 2nd December, 2026 at 3:00 p.m. Indian Standard Time, through video conferencing or other audio-visual means.
- Cut-off date for remote e-voting is Wednesday, 25th November, 2026.
- Mr. Sanam Umbargikar, Partner of M/s DSM & Associates, is appointed scrutinizer for remote e-voting and e-voting at the meeting.
Results also approved
- Unaudited standalone and consolidated financial results for the second quarter and half year ended 30th September, 2026.
- The statutory auditors carried out a limited review and issued an unmodified report on the results.
What a retail investor may want to weigh
- The warrant issue brings money from the promoter, and the same update links it to the new plant spending.
- Warrants convert into equity shares when the holder pays and exercises them; that adds to the total number of shares in circulation, so an existing holder's percentage of the company can change.
- The new plant comes up at the company's existing Lote Parshuram location, which the update describes as within the available parcel of land there.
- The shareholder vote at the 2nd December, 2026 meeting is the next decision point on the warrant issue and the capital increase.
