- Capex approved
- Rs. 70 crore chemical plant at Unit-5, MIDC Lote Parshuram
- Authorised share capital revised
- from Rs. 33,50,00,000 to Rs. 34,00,00,000 by creating 5 lakh new equity shares
- Warrants to promoter
- up to 8,54,060 fully convertible warrants at Rs. 526.90 each
What the board approved
The board met on 2nd November, 2026 and approved four things together: the unaudited standalone and consolidated results for the quarter and half year ended 30th September, 2026; a new chemical plant; an increase in authorised share capital; and a preferential issue of warrants to the promoter. An Extra-Ordinary General Meeting has been called for Wednesday, 2nd December, 2026 at 3:00 p.m. Indian Standard Time through video conferencing, with a cut-off date of Wednesday, 25th November, 2026 for remote e-voting.
The expansion
- Capital expenditure of Rs. 70 crores at Unit-5, by way of a new chemical plant at D-10, MIDC Lote Parshuram, Taluka Khed, Dist. Ratnagiri, Maharashtra.
- The plant is to come up within the available parcel of land at that site.
The authorised share capital increase
- Existing: Rs. 33,50,00,000 divided into 3.35 crore equity shares of Rs. 10 each.
- Revised: Rs. 34,00,00,000 divided into 3.4 crore equity shares of Rs. 10 each.
- The increase is by creation of 5 lakh additional equity shares of Rs. 10 each, followed by a consequential amendment to the Memorandum of Association.
- The update links this step to the expansion above.
Authorised share capital is the ceiling up to which a company may issue shares; it is not money raised and it does not by itself change the number of shares actually in issue. The company's paid-up capital moves only when shares are actually allotted.
The fund raise
- Up to 8,54,060 fully convertible warrants, each carrying an entitlement to subscribe to an equivalent number of equity shares of face value Rs. 10 each.
- Price: Rs. 526.90 per warrant, or a price not lower than the minimum price determined under Chapter V of the SEBI (Issue of Capital Disclosure Requirements) Regulations, 2018.
- Allottee: Mr. Punit Gopikishan Makharia, Promoter Chairman and Managing Director, on a preferential basis.
- The update states this is also in view of the expansion.
Warrants allotted to a promoter, once converted, add to the total number of shares in issue. Existing shareholders who do not participate in such an issue end up holding a proportionately smaller slice of the company. The promoter's own holding, in turn, rises.
Q2 and H1 results
The board also took on record the unaudited standalone and consolidated financial results for the second quarter and half year ended 30th September, 2026, along with the limited review reports issued by the statutory auditors. The consolidated statement lists Kisan Phosphates Private Limited, Madhya Bharat Phosphate Private Limited, Dyecol Color Technologies Private Limited and Dyecol Bangladesh Limited as subsidiaries. The auditors state that nothing has come to their attention that causes them to believe the statement contains any material misstatement.
What a retail investor may track
- The shape of the Rs. 70 crore spend — the update sets out the project and location.
- How much of the warrant entitlement is ultimately exercised and converted into shares, since that decides the final share count.
- The outcome of the 2nd December, 2026 EGM, where members vote on the resolutions placed before them.
