What the company has done

By a circular resolution passed on October 13, 2026, the Board of Directors of the company allotted 51,00,000 fully convertible warrants to Aurum RealEstate Developers Limited, the promoter of the company, on a preferential issue on a private placement basis. Each warrant is convertible into, or exchangeable for, one fully paid-up equity share of the company.

Price and amount

How the payment works

Of the warrant issue price, 25% is payable at the time of subscription to the warrants, and the remaining 75% is payable by the warrant holder at the time of exercise of the warrants. Against the total, the amount received on the date of allotment is INR 29.51 crore.

Tenure and what happens if not converted

The warrants can be exercised in tranches, at the option of the warrant holder, within a period of 18 months from the date of allotment, in one or more tranches, by giving a written notice to the company. If the warrant holder does not convert the warrants within 18 months from allotment, the unconverted warrants lapse and the subscription amount paid by the holder on those warrants stands forfeited.

Effect on promoter shareholding

The promoter held 38.22% before the allotment (pre-issue shareholding on fully paid-up equity shares basis, as on September 30, 2026) and the post-issue shareholding on a fully diluted basis works out to 40.56%. The post-issue figure is shown on the presumption that all the warrants issued are fully converted and takes into account total outstanding ESOPs granted; if the allottee does not subscribe to or is not allotted such equity shares, the shareholding pattern would need consequential edits.

Listing and rights of the new shares

The warrants will remain unlisted. The equity shares allotted on conversion of the warrants will rank pari-passu, in all respects, with the existing equity shares of the company and will be subject to the applicable lock-in requirements. These equity shares will be listed on the NSE and BSE upon receipt of the listing approvals, which will be obtained at the relevant point in time.

What this means for investors

The transaction brings in INR 118.02 crore in total if the warrants are converted, with INR 29.51 crore already received on allotment. Conversion of warrants into equity shares increases the number of equity shares in issue, so the stake of existing shareholders would be diluted, while the promoter's holding on a fully diluted basis moves up to 40.56%.
