A company listed on the exchanges has to tell the market how it will handle and share price-sensitive information. This update is that disclosure.
What the company shared
Zetwerk Manufacturing Businesses Ltd informed BSE (Scrip Code 545000) and NSE (Symbol ZETWERK) that its Board has approved and adopted a Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information. The Code is framed under Regulation 8(1) of the SEBI (Prohibition of Insider Trading) Regulations, 2015. The update is an intimation under Regulation 8(2) of the same regulations. The Code is also available on the company's website under the Policies section. The Board adopted the Code on 19 March 2026, and the Code comes into force with effect from the date of listing of the company's equity shares.
What the Code says it will do
- Unpublished price sensitive information, or UPSI, is to be disclosed to the stock exchanges and disseminated promptly and on a continuous basis once credible and concrete information exists, so that it becomes generally available.
- Information is to be shared uniformly with all stakeholders through the exchanges and the company's official website, with an effort to avoid selective disclosure. If information does get out selectively or inadvertently, the company will try to make it generally available as soon as practicable.
- UPSI is to be handled on a need-to-know basis, with Chinese walls separating those who have it from those who do not.
- The Board or authorised personnel will decide what counts as a legitimate purpose for sharing UPSI, based on operating guidelines attached to the Code.
Who handles disclosures
- The Company Secretary has been appointed as the Chief Investor Relations Officer, responsible for dissemination of information and disclosure of UPSI, and for the company's continuous disclosure obligations.
- Replies to queries on news reports or requests to verify market rumours are to be signed by the Chief Executive Officer or Chief Finance Officer, and in their absence by the Compliance Officer. If a query comes from one exchange, a copy of the reply goes to the other exchange where the shares are listed.
- The Chief Investor Relations Officer decides whether a public announcement is needed to verify or deny a rumour.
Dealing with analysts and investors
- Only public information is to be given to analysts, research personnel and institutional investors; any UPSI shared with them should be made public at the earliest.
- Meetings with analysts are to have two company representatives present, and the discussion is to be recorded, with transcripts put up on the website.
- Questions outside the scope of discussion are to be taken on notice, and if the answer would include UPSI, a public announcement is to be made before responding.
Review of the Code
Any change in the Companies Act, 2013, the SEBI Listing Regulations or other relevant laws will automatically apply to the Code. The Code is subject to review and changes by the Board to meet regulatory requirements, and if any amendment, clarification, circular or notification from authorities is inconsistent with it, that will prevail from its effective date.
What this means for a retail investor
This is a governance and disclosure-practice intimation. It sets out how the company intends to keep the market informed and how it plans to prevent selective sharing of sensitive information. It does not announce any business event, order or financial result.
