The company has issued a Last & Final Reminder-cum-Forfeiture Notice to shareholders who were allotted partly paid-up equity shares on a rights basis and have still not paid the First and Final Call Money on them.
What is being asked for
- The outstanding call is ₹13.50 per partly paid-up equity share, made up of ₹5.00 towards face value and ₹8.50 towards securities premium.
- The Board approved the notice at its meeting held on 27 October 2026. It follows the First and Final Call Money Notice dated 4 June 2026.
- Payment can be made only through the registrar's online portal, using net banking or UPI. Cash payment and part payment will not be accepted.
- Payment window: Monday, 2 November 2026 to Monday, 16 November 2026, a period of 15 days, both days inclusive.
What happens if the money is not paid
- The notice states that if the outstanding call money is not received within the payment period, the Board may directly forfeit the partly paid-up equity shares on which the money remains unpaid, without any further notice.
- Failure to pay makes the partly paid-up shares, including the amount already paid on them, liable to be forfeited. The update describes this as the final reminder, with no further reminders to be issued.
What happens after payment
- Partly paid-up shares carrying a paid-up value of ₹5 are to become fully paid-up equity shares of ₹10 each.
- The Board, or a duly authorised committee, may opt to convert them in tranches, at its discretion, including during the payment period.
- The conversion corporate action is estimated to be completed on a best-effort basis within two to three weeks once the Board opts to convert.
- On completion, the fully paid-up shares are to be credited under ISIN INE564C01013.
- Trading in the partly paid-up shares under ISIN IN9564C01011 has been suspended by the stock exchange with effect from 15 May 2026.
Points for holders to note
- Only one payment per demat account or folio will be accepted during the payment period; payments made after the first one are liable to be rejected.
- Payment must be from the shareholder's own bank account. Third-party bank account payments are liable to be rejected.
- The partly paid-up shares must be held in the demat account mentioned on the online portal. If they are held elsewhere, the conversion request will not be accepted and the payment will be returned.
- Excess, duplicate or short payments that cannot be adjusted will be refunded to the bank account registered in the demat account.
- Shareholders are asked to keep their demat account active and their email ID and mobile number correctly registered.
Read together, the update sets a firm deadline for the defaulting holders: pay ₹13.50 per partly paid-up share between 2 and 16 November 2026 to have the shares converted to fully paid-up shares of ₹10 each, or face forfeiture of the shares along with the money already paid on them.
