An extra-ordinary meeting, with one main item
VVIP Infratech has convened its 01st Extra-Ordinary General Meeting for FY 2026-27 on Wednesday, 18th November, 2026 at 03:00 P.M., to be held through video conferencing / other audio-visual means, without members being physically present at a common venue. Remote e-voting runs from 15th November, 2026 at 09:00 AM to 17th November, 2026 at 05:00 PM, and the cut-off date for deciding who can vote is 11th November, 2026.
What shareholders will vote on
- The item is a special resolution for a preferential issue of up to 72,04,200 warrants convertible into equity shares.
- Allottees are persons belonging to the promoter and non-promoter group. Three promoter names take 20,68,200 warrants each (Vibhor Tyagi, Vaibhav Tyagi and Suman Tyagi), with the balance going to non-promoter allottees.
- Each warrant is priced at ₹137/-, aggregating up to ₹98,69,75,400/- for the full 72,04,200 warrants.
- Each warrant can be converted into an equity share of face value ₹10/-. The relevant date for computing the minimum issue price is fixed as Monday, October 19, 2026.
How the money comes in
- 25% of the issue price is payable upfront at the time of subscription to the warrants.
- The remaining 75% is payable when the warrant holder exercises the option.
- Warrants must be exercised within 18 months from allotment. If they are not, they lapse and the amount already paid stands forfeited by the company.
- Until they are exercised and converted, the warrants carry none of the rights of an equity shareholder.
What this means for a small shareholder
- The equity share capital can rise if the warrants are exercised, so existing holdings would then represent a smaller slice of the company. This is the usual effect of a preferential allotment.
- The full amount is not received at one go. Only the 25% subscription money comes at allotment; the 75% balance depends on the holders choosing to convert within the window.
- If the holders do not convert, they lose what they have already paid, which stays with the company.
- The warrants, and the shares issued on exercise, are subject to lock-in for the period specified under Chapter V of the SEBI ICDR Regulations.
- No shareholder approval is being sought again for later changes to the terms of the issue; the Board has been authorised to modify terms within the regulations.
How to take part
- Members can join the video meeting and vote during the meeting, or cast votes earlier through remote e-voting.
- Institutional and corporate members attending through video conferencing need to send a scanned Board Resolution authorising their representatives to the scrutiniser.
- Results of the e-voting are to be declared within two working days of the conclusion of the meeting and placed on the company and e-voting provider websites, and communicated to the stock exchanges.
