The measure is meant to help investors who bought physical share certificates before April 01, 2019 get those shares registered in their own name in demat form.
The window
- SEBI had earlier opened a special window through its circular dated July 02, 2025 for re-lodgement of transfer deeds of physical shares lodged prior to April 01, 2019 but rejected or returned due to deficiencies.
- The facility has now been extended through its subsequent circular dated January 30, 2026.
- The special window is open for one year, from February 05, 2026 to February 04, 2027.
- It also covers transfer requests submitted earlier that were rejected, returned or not attended to because of deficiency in documents or process.
Who is covered
- Transfer deeds executed before April 01, 2019 are eligible, whether being lodged fresh or re-lodged after an earlier rejection, provided the original security certificate is available.
- Where the original security certificate is not available, or the deed was not lodged before April 01, 2019, the request is not eligible under this window.
- Cases involving disputes between transferor and transferee will not be considered; these may be settled by transferor and transferee through court or NCLT process.
- Securities already transferred to the Investor Education and Protection Fund (IEPF) will not be considered for processing under this window.
Documents the transferee must submit
- Original security certificate(s)
- Transfer deed executed prior to April 01, 2019
- Proof of purchase by transferee, as may be available
- KYC documents of the transferee (as per ISR forms)
- Latest Client Master List (CML), not older than 2 months, of the transferee's demat account, duly attested by the Depository Participant
- Undertaking cum Indemnity as per the format at Annexure-A
Conditions that apply
- All approved transfers will be effected only in dematerialised form.
- The securities will be under lock-in for one year from the date of registration of transfer and shall not be transferred, lien-marked or pledged during the said lock-in period.
- PAN, identity proof and address proof of the transferee(s) and transferor(s) shall be mandatorily confirmed.
- Where the objection memo is not delivered or the transferor is non-cooperative, untraceable or unable to provide a required document, an advertisement must be published in one English language national daily and one regional language daily in the place of the transferor's last known address, seeking objections within 30 days. A copy of the advertisement is also posted on the listed company's website, and transfer is effected only after the expiry of 30 days from the advertisement.
- In case of death of the transferee as per the executed transfer deed, legal heir(s) can claim the securities with all required documents as per the specified transmission procedure.
- If a fraud is detected during the one-year lock-in period, the lock-in shall continue on the related securities till further intimation, and such securities shall be released only in favour of the claimant as per order from a competent court.
Timelines
- Listed companies and RTAs shall process the transfer requests within 70 days from the date of receipt of request from the transferee with complete documentation.
- Listed companies, RTAs and Stock Exchanges are to publicise the opening of this special window through print and social media once every two months during the one-year period.

What this means for investors
This is a shareholder facilitation measure. It gives a defined route and a fixed time band to holders of old physical shares whose transfer papers were once rejected or left incomplete, so that the shares can be brought into demat form in the buyer's name.
