- Postal Ballot Date
- 22nd October, 2026
- Resolutions Approved
- Three resolutions approved (two Special, one Ordinary)
- Statutory Auditor Appointed
- M/s. V K Beswal & Associates, to fill casual vacancy caused by resignation of existing Statutory Auditor
Thacker & Company Ltd has informed BSE that the resolutions put to members through Postal Ballot were approved on 22nd October, 2026. Three separate items were cleared.
What members approved
- Re-appointment of Mr. Raju R. Adhia as Manager of the Company, by way of a Special Resolution.
- Alteration of the Articles of Association, by way of a Special Resolution, to insert a new Article 63A on buy-back of securities.
- Appointment of M/s. V K Beswal & Associates, Chartered Accountants (Firm Registration No. 101083W), as Statutory Auditors, by way of an Ordinary Resolution.
The buy-back clause
This is the item that reads like news but is largely housekeeping. The new Article 63A allows the Company to purchase its own shares or other specified securities out of its free reserves, the securities premium account, the proceeds of any issue of shares or other specified securities, or other permitted sources, and through modes such as a tender offer, open market purchase, book-building process or otherwise. The Company has stated clearly that the amendment is enabling in nature and does not constitute any decision or commitment by it to undertake a buy-back. In plain terms, it writes the permission into the Articles. Any actual buy-back would be a separate event with its own price, size, mode and approvals.
Why the auditor changed
M/s. V K Beswal & Associates was appointed to fill the casual vacancy caused by the resignation of the existing Statutory Auditor. The appointment is valid until the conclusion of the next Annual General Meeting. The firm was established in 1983 and the disclosure describes a base of more than 200 client organisations.
What this means for a retail holder
- A buy-back clause in the Articles by itself does not change the number of shares, the earnings or the dividend. It only widens what the Company is permitted to do later.
- A statutory auditor appointed to fill a casual vacancy holds office only until the next Annual General Meeting, when members vote on the auditor afresh.
- The Manager's re-appointment keeps the existing arrangement in place.
- The voting results of the Postal Ballot, together with the Scrutinizer's Report, are being submitted separately, so the actual level of member approval will be shown there.
What to watch
A separate announcement of an actual buy-back would be a different and far more specific event, carrying a price and a size. The present disclosure stops at the enabling provision.
