The changes
- Clause III (A) 2 was replaced with a new clause covering taking on lease or otherwise acquiring lands and estates of any description, and any rights in or connected with land, to develop the resources of the Company, including clearing, draining, fencing, planting, cultivating, building, improving, irrigating, grazing, and promoting immigration and the establishment of villages and settlements.
- A new Clause III (A) 13 was inserted, allowing the company to carry on business as contractors, builders, town planners, infrastructure developers, estate developers, engineers land developers, land scapers, estate agents and immovable property dealers; to acquire, buy, sell, lease, exchange or hire lands, buildings and civil works immovable property of any tenure; and to erect and construct houses, flats, bungalows, hospitals or civil work of every type on the Company's land or other land, whether owned by the Company or not, and to pull down, rebuild, enlarge and alter, in India or abroad.
Existing objects
The main object of manufacturing and dealing in caustic soda, caustic potash, chlorine, potassium carbonate, calcium and sodium hypochlorite, bleach liquor, hydrochloric acid, hydrogen, barium sulphate and calcium sulphate continues. Other existing objects cover chemicals, plant and machinery, consultancy, bulk drugs, paper and pulp, power generation and distribution, oils and fats, soaps and detergents, chloromethanes and pharmaceuticals.
What it means for investors
An Object Clause sets out the activities a company is legally permitted to undertake. Widening it gives the company the legal ability to enter real estate, construction and infrastructure development activities in addition to its existing chemicals business. An alteration of this kind is an enabling step; it does not by itself confirm that any such project has started or that capital has been committed. Investors may watch future disclosures for any concrete activity under the newly inserted object.
