Board meeting of 15 October 2026
The Board approved the audited consolidated and standalone financial results for the second quarter and half year ended 30 September 2026, together with unmodified audit reports; declared an interim dividend; and recommended a bonus issue and an increase in the authorised share capital.
Interim dividend
- Declared an interim dividend of Rs. 15/- per equity share of face value Rs. 5/- each, that is 300% for the financial year 2026-27.
- The record date for entitlement to the dividend is Friday, 23 October 2026.
- The dividend will be paid by 13 November 2026 through electronic mode to shareholders holding shares in demat or physical form as on the record date.
Audited results and auditor's report
- The results cover the quarter and half year ended 30 September 2026, and the audit reports are unmodified.
- The audit report carries an Emphasis of Matter on certain claims relating to erstwhile Satyam Computer Services Limited; management, based on the current legal status and external legal opinion, believes these claims will not be payable on final adjudication, and the opinion is not modified in respect of this matter.
Bonus issue recommended for shareholder approval
- Ratio of 1:1, that is one new fully paid-up equity share of Rs. 5/- each for every one existing fully paid-up equity share of Rs. 5/- each.
- The proposed issue is 98,02,05,040 equity shares of Rs. 5/- each, fully paid-up. The actual number will be determined based on the fully paid-up equity shares in the share capital of the company as on the record date, which will be intimated separately.
- The shares are to be issued by capitalising amounts standing to the credit of the Securities Premium Account and/or General Reserves and/or Retained Earnings and/or any other permitted reserves. Reserves of Rs. 490.10 crore would be required, based on the estimated number of bonus shares.
- The company expects the bonus shares to be credited within two months from the date of Board approval, that is by 15 December 2026.
Share capital
- The Board has recommended increasing the authorised share capital of the company from Rs. 924.3 crore to Rs. 1,000 crore, along with a consequent amendment to the Memorandum of Association.
- Both the bonus issue and the increase in authorised share capital are recommendations placed before the shareholders for approval through postal ballot.
For a retail shareholder
- A bonus issue gives eligible shareholders additional shares free of cost in the stated ratio; it is done by capitalising reserves, so the number of shares in issue goes up.
- The interim dividend and the bonus issue are separate events, each with its own record date.
- The actual bonus figures depend on the paid-up equity share capital on the bonus record date, so they may differ from the estimated number.
