Fair disclosure code amended
- The company has amended its Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information, described as effective from 12 October 2026.
- The update states the amendment is in compliance with Regulation 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
- A copy of the revised Code is enclosed with the update and it is also available on the company's website.
What the revised Code carries
- The Code is marked as revised on 12-10-2026 and states it comes into force from 15 May 2015, with other applicable amendments as specified by SEBI from time to time.
- It defines Unpublished Price Sensitive Information (UPSI) and lists the categories treated as UPSI, including financial results, dividends, change in capital structure, mergers, de-mergers, acquisitions, delistings, disposals, expansion of business, award or termination of orders or contracts not in the normal course of business, changes in key managerial personnel, change in ratings other than ESG ratings, fund raising proposed to be undertaken, agreements that may impact management or control, fraud or defaults, resolution or restructuring or one-time settlement of loans or borrowings, insolvency-related events, forensic audit, regulatory or judicial action, litigation outcome, guarantees or indemnity for a third party, and grant, withdrawal, surrender, cancellation or suspension of key licences or regulatory approvals.
- For identifying these events as UPSI, the Code links materiality to the guidelines at paragraph A of Part A of Schedule III and materiality at paragraph B of Part A of Schedule III of the Listing Regulations.
How disclosure is handled
- The Whole-time Director acts as the Chief Investor Relations Officer (CIRO) for dissemination and disclosure of UPSI, and is responsible for timely, adequate, uniform and universal dissemination.
- Information that gets disclosed selectively, inadvertently or otherwise is to be promptly disseminated to make it generally available.
- On market rumours, the company shall confirm, deny or clarify the reported event or information to the stock exchanges as required under Regulation 30(11) of the Listing Regulations, as soon as reasonably possible and not later than twenty four hours from the reporting of the event or information.
- Only public information is to be provided to analysts, research personnel and institutional investors, and information given to analysts should be made public at the earliest.
- At least two company representatives should preferably be present at meetings with analysts, brokers or institutional investors, and discussions should preferably be recorded; transcripts or records of such meetings and investor relations conferences are to be placed on the official website.
- All UPSI is to be handled on a need-to-know basis.
