What happened
The Fund Raising Committee of the Board met on Thursday, October 15, 2026 and took note of two changes in the Explanatory Statement to the Notice of Annual General Meeting dated Monday, September 07, 2026. That notice relates to the proposed preferential issue under Item No. 7.
Change 1 - Promoter intent to subscribe
The point on the intent of promoters, directors, key management personnel and senior management to subscribe to the offer has been substituted. As revised, the position is:
- Sanjay Mehta (Promoter): up to 9,67,118 warrants
- Puneet Pal Singh (Promoter): up to 9,67,118 warrants
- Except for these two, none of the Promoters, Directors, Key Management Personnel or Senior Management of the issuer intend to subscribe to the offer under Item No. 7.
The words "Up to" mean these are the maximum number of warrants each named promoter may subscribe to.
Change 2 - Revised valuation report
- The Committee took on record a revised valuation report dated September 05, 2026, issued by M/s. Corporate Professionals Valuation Services Private Limited.
- This was done pursuant to the instructions of the National Stock Exchange of India Limited, in relation to the valuation report dated September 05, 2026.
- The Committee noted that the issue price for the proposed preferential issue remains the same even in the revised valuation report.
- The revised valuation report is available on the Company's website.
What is unchanged
All other particulars and details contained in the AGM Notice and the valuation report remain unchanged.
Simple explanation for a new investor
- A preferential issue is a fresh issue of shares or warrants to a select set of investors, here proposed under the AGM Notice.
- A warrant is a right to subscribe to equity shares later, on the terms approved; it is not the same as an allotment of shares today.
- Promoter participation in such an issue is generally watched by the market as an indication of promoter interest in the company, since it can change promoter holding once the warrants convert.
- The revised valuation report relates to the price at which the issue is proposed; here the issue price remains the same as earlier.
How this reaches investors
This is an update to the disclosures already made in the AGM Notice, and the Committee has asked the exchanges to take the changes on record.
