What the notice is about
Solara Active Pharma Sciences has sent a Final Reminder-cum-Forfeiture Notice to holders of partly paid-up rights equity shares who have not paid the outstanding call money. The Rights Issue Committee of the Board approved providing this final opportunity on October 09, 2026, after some shareholders asked for an additional window. The notice was sent by email on October 15, 2026 and by Speed Post on October 17, 2026.
A partly paid-up share is one where the shareholder has paid only part of the issue price. The balance is collected through "calls" — the First Call and the Second and Final Call.
Amounts being asked for
- First Call: ₹131.25 per partly paid-up rights equity share, comprising ₹3.50 towards face value and ₹127.25 towards share premium.
- Second and Final Call: ₹112.50 per partly paid-up rights equity share, comprising ₹3 towards face value and ₹109.50 towards share premium.
- Fully paid-up value on conversion: ₹10 per share.
- The notice states no part payment will be accepted, and that payment towards only the First Call will not be accepted — both calls must be paid together.
Payment window and mode
- The payment period opens on Thursday, October 22, 2026 and closes on Thursday, November 05, 2026, both days inclusive — a duration of 15 days.
- Payment is only through the online portal of the Registrar, Cameo Corporate Services Limited, using net banking or UPI. Cash is not accepted.
- Payment from third-party bank accounts is liable to be rejected.
- For a particular demat account or folio, payment is accepted only once during the payment period, not in tranches.
What happens if payment is not made
- The notice states this is the final reminder and that no further reminders will be issued.
- If the outstanding call money is not received within the payment period, the Board may directly proceed to forfeit the partly paid-up equity shares on which the money remains unpaid, without further notice.
- The company may also deduct outstanding call sums from any future dividend payable.
- The partly paid-up shares, including the amount already paid on them, may be liable to be forfeited.
Conversion to fully paid-up shares
The Board or an authorised committee may, at its discretion, convert the partly paid-up equity shares to fully paid-up shares with a paid-up value of ₹10 once the pending call amount is paid within the payment period. The corporate action for such conversion is estimated to be completed on a best effort basis within two to three weeks after the Board opts to convert.
If a holder pays less than the total amount due, the Board may consider converting a proportionately lower number of shares to fully paid-up status. Excess or duplicate amounts, and payments from persons who are not eligible shareholders, will be refunded to the bank account registered in the demat account.
Other points to note
- The partly paid-up shares under the ISINs IN9624Z01014 and IN9624Z01022, of face value ₹3.50 and ₹7 each respectively, have been suspended from trading on the stock exchanges effective Friday, April 04, 2025 and Thursday, April 02, 2026 respectively.
- On completion of the corporate action, the ₹3.50 partly paid-up shares will be converted into ₹10 fully paid-up shares.
- Shareholders must ensure the partly paid-up shares are held in the demat account mentioned on the online portal, and must quote PAN linked with Aadhaar.
- Queries can be directed to the Registrar's support line; FAQs are available on the company and Registrar websites.
