- Payment Window
- 10 Nov 2026 to 24 Nov 2026
- Partly Paid Shares Covered
- 20,857 outstanding partly paid shares
Sobha has issued a final reminder-cum-forfeiture notice asking holders of its partly paid-up rights equity shares to pay the first and final call money. Here is what the notice says.
The background
- The shares were allotted on July 11, 2024 on a rights basis under a Letter of Offer dated June 12, 2024.
- They are only partly paid, so holders still owe the balance amount on the call.
- A first and final call notice was issued earlier, on December 09, 2024; this is the final reminder before forfeiture.
How much has to be paid
- ₹ 825.50 per partly paid-up equity share.
- This comprises ₹ 5.00 towards face value and ₹ 820.50 towards premium.
The payment window
- Tuesday, 10 November 2026 to Tuesday, 24 November 2026, both days inclusive, a 15 days period.
- The last date for payment is Tuesday, 24 November 2026.
Which shares this covers
- The notice sent to the stock exchanges covers the outstanding 20,857 partly paid-up rights equity shares.
- These are part of the ~1.21 crore partly paid-up equity shares allotted under the rights issue.
What happens if payment is not made
- The partly paid-up shares, including the amount already paid on them, become liable to be forfeited.
- Part payment is treated as non-payment. The Board or an authorised committee may, however, consider converting a proportionately lower number of shares into fully paid-up shares against a lower payment.
- Sums outstanding on account of calls, and interest due, can be deducted from any dividend payable.
How payment works
- Cash is not accepted. Payment is by cheque or demand draft, deposited at Axis Bank collection centres or sent to the registrar, MUFG Intime India Private Limited.
- Payments made from third-party bank accounts are liable to be rejected.
- For a particular demat account or folio, payment can be made only once during the window; later payments are liable to be rejected.
Conversion into fully paid-up shares
- On payment, the company may convert the partly paid-up shares into fully paid-up shares, in tranches, at the discretion of the Board or its committee.
- Converted shares move from the partly paid-up ISIN IN9671H01013 to the fully paid-up ISIN INE671H01015.
- The partly paid-up ISIN was suspended by the stock exchanges with effect from Friday, December 06, 2024.
- The corporate action for conversion is estimated to be completed on a best effort basis within two to three weeks once the Board opts to convert.
What this means for a holder of these shares
- If you hold these partly paid-up shares and want to retain them, the full call money has to be paid on or before 24 November 2026.
- If it is not paid, the shares and the amount already paid on them can be forfeited.
