- The notice and explanatory statement were dispatched electronically on Tuesday, 27th October 2026 to members whose email IDs are registered.
- The Register of Members and Share Transfer Books remain closed from 11th November 2026 to 18th November 2026 (both days inclusive).
What shareholders are voting on
There is one item of special business, to be passed as a Special Resolution: consideration and approval of raising of funds through issuance of securities.
- Aggregate consideration of up to ₹1,800 crores, inclusive of any premium, in one or more tranches, with or without a green shoe option.
- Securities covered: fully paid-up equity shares, fully convertible debentures, partly convertible debentures, non-convertible debentures, preference shares convertible into equity shares, warrants, depository receipts, ADRs/GDRs/FCCBs, or a combination of these.
- Routes permitted: further public issue, rights issue, qualified institutions placement, debt issue, preferential issue, or any other permissible mode, or combinations of these.
- The board (including a QIP Committee set up by the board) would decide the price, timing, tranches and categories of investors.
Terms set out for a QIP
- Allotment only to Qualified Institutional Buyers, and to be completed within 365 days from the date of passing the Special Resolution.
- Pricing not below the floor price determined under the ICDR Regulations; the board may issue at a discount of not more than five percent, subject to shareholder approval.
- A minimum of 10% of the eligible securities shall be issued to Mutual Funds, failing which that portion may go to other QIBs.
- No single allottee shall get more than 50% of the issue size.
- Tenure of convertible or exchangeable securities issued through the QIP shall not exceed sixty months from allotment.
- Securities allotted under the QIP shall not be sold for one (1) year from allotment, except on the floor of a recognised stock exchange.
- No further QIP until two weeks from the date of the QIP.
The process side
- A monitoring agency will report on use of proceeds on a quarterly basis until hundred percent of the proceeds have been utilised.
- The board is authorised to file documents with SEBI, stock exchanges, RBI and the Government, seek listing approvals, open bank accounts and finalise the basis of allotment.
Voting details
- Cut-off date for determining eligibility to vote: Wednesday, 11th November 2026.
- Remote e-voting window: from 9:00 AM on Sunday, 15th November 2026 to 5:00 PM on Tuesday, 17th November 2026, provided through NSDL.
- Members can also vote during the meeting through the e-voting facility; a member who has already voted remotely cannot vote again.
- Mr. Shivang Goyal, Proprietor of Shivang G Goyal & Associates, Practising Company Secretaries, has been appointed as Scrutinizer.
How to read this
- This is a notice of a meeting, so the resolution is proposed for shareholder approval, not yet passed. The board gets the authority only if members approve it.
- Approval of an enabling limit of up to ₹1,800 crores gives the company room to raise money later; the price, timing and actual amount would be decided at that stage.
- Fresh issue of equity shares or convertible securities increases the number of shares outstanding, which existing shareholders may want to weigh alongside the use of the funds raised.
