Based on the recommendation of the Nomination and Remuneration Committee, the Board approved the appointment of Mr. Jay Bharatbhai Pansuria (Membership No. FCS 12628) as Company Secretary and Compliance Officer with effect from 3rd October, 2026. He is a Fellow Member of the Institute of Company Secretaries of India, with professional qualifications in Law (LL.B) and Business Administration (B.B.A), and brings over ten years of experience across FMCG, chemicals, government undertakings and manufacturing, including corporate governance, listing compliance and corporate restructuring. He is also an Independent Director of Shining Tools Limited, Rajkot.
Resignation of the outgoing Company Secretary
The Board accepted the resignation of Mrs. Deepa Ashokkumar Dhamecha as Company Secretary and Compliance Officer with effect from October 02, 2026. The reason recorded for the change is "Due to personal". Her resignation letter is dated October 2, 2026 and requests relief from duties with effect from that date.
Promoter reclassification to public category
The Board considered and approved the request of two persons belonging to the Promoter Group to be reclassified from 'Promoter Group' to 'Public Category':
- Savji D Patel: NIL shares, NIL% holding
- Ushaben Savjibhai Patel: 10,00,000 shares, 2.31% holding
The reclassification letters were received on 24th September, 2026, and the company had intimated the request to the stock exchange. The Board noted that the outgoing promoters are not in control or management of the company, have no say in management decisions and hold no special rights. Their request states that they satisfy the conditions in sub-clause (i) to (vii) of clause (b) of sub-regulation (3) of Regulation 31A, and that they will continue to meet certain conditions for a period of not less than three years from the date of reclassification, failing which they would automatically be reclassified back under the Promoter Group category.
The approval is subject to approval of the shareholders and stock exchanges/other regulatory authorities. Once approved, the company will reflect the reclassification in the statement of shareholding pattern from the immediate succeeding quarter.
