What was approved
The company informed BSE that at its 3rd Annual General Meeting held on Monday, September 28, 2026 at 02:30 P.M (IST), members passed special resolutions on two items.
- Alteration of the Object Clause 3(a) and the connected Clause 3(b) of the Memorandum of Association, by inserting additional Main Object and Ancillary Object clauses, under Sections 4 and 13 of the Companies Act, 2013.
- Adoption of a new set of Articles of Association, in substitution for and to the entire exclusion of the existing Articles, under Sections 5 and 14 of the Companies Act, 2013.
What the new objects allow
The added Main Objects let the company undertake a wider range of activities: trading, merchanting, import, export, manufacturing, processing, warehousing, logistics and distribution of various commodities and products in India and abroad. They also allow it to act as an Operating-cum-Holding Company — to promote, acquire, invest in, finance, manage and provide support services to subsidiaries, associate companies, joint ventures, LLPs, SPVs and other business entities, described as being in line with the company's revised business requirements.
The added Ancillary Objects are enabling provisions supporting those operations: borrowing, fund raising, banking operations, creation of security, operation of bank accounts, execution of negotiable instruments, management of assets, creation of reserves, contribution to charitable activities, indemnification of directors and officers, and other incidental matters.
Why the Articles were replaced
The fresh Articles are stated to align the company's constitutional documents with the Companies Act, 2013, the SEBI Listing Regulations, the altered Object Clause, the revised business requirements and the prevailing corporate governance framework.
