Corrigendum to the EGM notice
Seshachal Technologies Ltd has issued a corrigendum — a correction or addition — to the notice of its Extra Ordinary General Meeting. The Board of Directors approved the amendments at its meeting on 8th October, 2026.
What changes, and what does not
- The EGM was originally proposed to be held in physical mode at the registered office. It will now be held through Video Conferencing (VC) or Other Audio-Visual Means (OAVM).
- The date and time stay the same: Monday, 19th October, 2026 at 12:00 noon IST. The deemed venue remains the registered office at Plot No. 57, Text Book Colony, Secunderabad – 500 009, Telangana.
- Since physical attendance is dispensed with, the facility for appointment of proxies will not be available, and the Proxy Form, Attendance Slip and Route Map stand withdrawn. Corporate members may appoint authorised representatives under Section 113 to attend through VC/OAVM, participate and cast votes through e-voting.
- The EGM will be held at a shorter notice. Consent in writing or by electronic mode is being obtained from a majority in number of the members entitled to vote who represent not less than ninety-five per cent of the paid-up share capital that carries a right to vote. If that consent is not received before the meeting begins, the new Item No. 2 will not be taken up at the EGM.
New Item No. 2 — investment of up to ₹10,00,00,000/-
- A Special Resolution seeks members' approval for the Board to make investment(s), from time to time and in one or more tranches, by way of subscription to and/or acquisition of equity shares and/or other securities of Triveni Jewellers and Bullion Private Limited, up to an aggregate amount not exceeding ₹10,00,00,000/- (Rupees Ten Crore only).
- Triveni Jewellers and Bullion Private Limited is in the business of manufacture of jewellery.
- It is not a related party of the Company, and none of the promoters, directors or key managerial personnel of the Company, or their relatives, is a director or member of, or otherwise interested in, that company.
- Approval under Section 186(3) is being sought because the aggregate of loans, investments, guarantees and securities already provided by the Company, together with the proposed investment(s), may exceed the limits in Section 186(2) — sixty per cent of the aggregate of paid-up share capital, free reserves and securities premium account, or one hundred per cent of free reserves and securities premium account, whichever is more.
- The Board says the proposed investment is in the interest of the Company and its members and recommends the Special Resolution. The terms, including the type and number of securities, the consideration and the timing and tranches of the investment, are to be determined by the Board. None of the directors or key managerial personnel, or their relatives, is concerned or interested in the resolution, except to the extent of their shareholding, if any, in the Company.
How shareholders can vote
- Cut-off date for voting rights: Monday, 12th October, 2026.
- Remote e-voting window: from Friday, 16th October, 2026 at 9:00 a.m. IST to Sunday, 18th October, 2026 at 5:00 p.m. IST. The remote e-voting module is disabled by CDSL after that.
- Members who have cast their vote by remote e-voting may attend the EGM through VC/OAVM but cannot vote again. Shareholders who have already voted prior to the meeting date are not entitled to vote during the EGM.
- Members attending through VC/OAVM who have not voted remotely, and are not otherwise barred, may vote through the e-voting system during the EGM.
- The VC/OAVM facility will be made available to at least 1,000 members on a first-come-first-served basis. This does not cover large members holding 2% or more of the shareholding, promoters, institutional investors, directors, key managerial personnel and the chairpersons of certain committees, auditors and others, who may attend without this restriction.
- Shareholders who wish to speak or send queries must register at least 5 days prior to the meeting.
- The scrutiniser will make a consolidated report and submit it to the Chairman within two working days of the conclusion of the meeting, and the results will be placed on the websites of the Company and CDSL and communicated to BSE Limited.
