Tax on the dividend
Dividend is taxable in the hands of shareholders, and the company must deduct tax at source at the applicable rates. The rate depends on the shareholder's category and the documents submitted.
- Resident individuals: no tax deduction where the aggregate dividend for the tax year does not exceed Rs. 10,000/-.
- Resident individuals with a valid PAN: tax deducted at 10% on the dividend amount. A duly signed Form 121 may allow no deduction where eligibility conditions are met.
- PAN not available or invalid: tax at the higher of the prescribed rate or 20%.
- Non-resident shareholders: 20% plus applicable surcharge, health and education cess. A lower Double Tax Avoidance Treaty rate may be applied only if the company receives a self-attested PAN, Tax Residency Certificate, Form 41 and the prescribed self-declaration, and is satisfied on review.
- Foreign Institutional Investors and Foreign Portfolio Investors: 20% plus applicable surcharge and cess, and this rate is not reduced by treaty benefit or a lower deduction order.
- Where one PAN holds shares under multiple categories, the higher applicable rate is applied on the entire holding.
What shareholders need to do
- Update residential status for tax year 2026-27, valid PAN, category, e-mail address and residential address with the Depository Participant or the Registrar and Share Transfer Agent on or before the record date of 5 November 2026.
- Tax declarations and documents must be submitted online through the Registrar's link by 5 November 2026, 5:00 p.m. IST. Documents sent by any other mode or e-mail are not accepted.
- If tax is deducted at a higher rate because details or documents are insufficient, the shareholder can file a return of income and claim a refund, if eligible.
- Resident non-individual holders such as insurance companies, mutual funds and Category I or II Alternative Investment Funds have to give specific self-declarations along with registration documents to support a no-deduction or lower-deduction position.
The communication is not tax advice from the company or its Registrar, and shareholders are told to consult a tax professional for their own situation.
