- Submission Date of AGM Proceedings
- 1 October 2026 at 8:30 PM (with voting results and Scrutinizer's Report)
- Clarification Reply Date to BSE
- 08.10.2026
The company has explained to BSE why the proceedings of its 14th Annual General Meeting reached the exchange later than expected.
What the company said
- BSE's Listing Compliance Monitoring Team wrote to the company seeking a clarification on the delayed submission of the AGM proceedings.
- In its reply dated 08.10.2026, the company said it was under the understanding that the proceedings of the AGM could be submitted along with the voting results within the timeline prescribed under Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
- On that understanding, the proceedings of the AGM, the voting results and the Scrutinizer's Report were submitted collectively on 1st October, 2026 at 8:30 P.M.
- The company asked the exchange to take the clarification on record and to consider the lapse leniently, describing it as the company's first such inadvertent instance.
- It stated that the delay was purely inadvertent, arose from a bona fide understanding of the applicable disclosure timelines, and was neither intentional nor deliberate, and that it will ensure strict adherence to the timelines going forward.
- It also enclosed a copy of the earlier submission containing the proceedings of the AGM.
The AGM itself
- Held on September 29th, 2026 at 04:00 P.M. through VC/OAVM, with the registered office of the company deemed to be the venue.
- Mr. Sanjay Kumar Rathi, Managing Director, chaired the meeting; the Company Secretary ascertained that the requisite quorum was present and declared the meeting open.
- Remote e-voting was available to members as on the cut-off date of September 22, 2026, and was kept open from Saturday, September 26, 2026 (9:00 a.m. IST) to Monday, September 28, 2026 (5:00 p.m. IST). E-voting facility was also provided at the meeting for members who had not voted remotely.
- The meeting commenced at 04:00 PM and concluded at 05:00 PM.
Resolutions placed before the members
- Resolution 1, Ordinary Business: to receive, consider and adopt the Audited Financial Statements of the company for the financial year ended 31st March, 2026, together with the reports of the Board of Directors and the Auditors. Ordinary Resolution.
- Resolution 2, Ordinary Business: to appoint a director in place of Mr. Sanjay Kumar Rathi, who retires by rotation and, being eligible, offered himself for re-appointment. Ordinary Resolution.
- Resolution 3, Special Business: to consider re-designation of Ms. Renu Rathi as Non-Executive Director of the company. Ordinary Resolution.
How to read this
- This is a procedural clarification about the timing of a update, not a business or financial development.
- The company has attributed the delay to a bona fide understanding of the applicable disclosure timelines and has requested leniency for what it calls a first, inadvertent instance.
- The update does not carry any money figures, so the impact is best read as a compliance matter rather than a financial one.
