What has been shared
Sahajanand Medical Technologies has informed NSE and BSE that it has adopted a "Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information". The Code is framed under Regulation 8(1) read with Schedule A of the SEBI (Prohibition of Insider Trading) Regulations, 2015, and the intimation to the exchanges is made under Regulation 8(2) of those regulations.
Key details of the Code
- Name: Code for Fair Disclosure of UPSI
- Approval date: November 12, 2025
- Version: Version 1
- Effective date: November 12, 2025
- The Code is also hosted on the company's website at smtpl.com
Who runs it
The Company Secretary and Compliance Officer, or any senior person authorised by the Managing Director and CEO, acts as the Chief Investor Relations Officer. This person is responsible for making sure information is disseminated uniformly and universally, so that no stakeholder receives it selectively.
What the Code commits to
- Price-sensitive information will be disclosed as soon as the company has credible and concrete information, by reporting it to the stock exchanges and hosting it on the company website, following the timelines in the SEBI listing regulations.
- If sensitive information is disclosed accidentally or inadvertently, it will be brought to the notice of the Chief Investor Relations Officer, who will forthwith make it generally available information.
- Information shared with analysts, research personnel and institutional investors must not be unpublished price sensitive information; if any such information is shared, it will simultaneously be made public through the exchanges and the website.
- Transcripts or records of analyst meetings and investor relations conferences will be hosted on the website.
- The company's general policy is not to respond to market rumours or speculation unless required by regulatory authorities; rumours likely to have a substantial effect on the price of its securities will be dealt with by the Chief Investor Relations Officer after due diligence.
Confidentiality and legitimate purpose
- Unpublished price sensitive information will be handled strictly on a need-to-know basis, with a wall-crossing procedure for sharing inside the company or with external parties for genuine business purpose.
- Sharing such information in the ordinary course of business with partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals or other advisors or consultants can count as a legitimate purpose, provided it is not done to evade the regulations.
- Anyone who receives such information for a legitimate purpose is treated as an insider and must keep it confidential and must not trade in the company's securities while in possession of it.
- Insiders may be asked to sign confidentiality and non-disclosure agreements.
- A Structured Digital Database will be maintained recording the nature of the information, who shared it and with whom it was shared, along with PAN or another identifier permitted by law.
What this means for a retail investor
This is a policy and governance disclosure rather than a business update: it does not announce any corporate action such as a dividend, fund raise, acquisition or order win, and it does not carry sales, profit or order-book figures. Its practical value is procedural. It tells you the channels through which the company commits to release price-sensitive news, namely the stock exchanges and its website at smtpl.com, and the internal discipline it says it follows so that all investors receive such information at the same time.
The Code is marked as Version 1, with an approval date and effective date of November 12, 2025.
