Rossell Techsys Limited has issued a corrigendum, that is, a correction-cum-addition, to the notice of its Extraordinary General Meeting (EGM). It follows observations received from the stock exchanges in connection with the company's application for in-principle approval of the listing of the equity shares proposed to be allotted under a preferential issue.
The proposed preferential issue
- Issue of 25,72,898 fully paid-up equity shares of face value Rs. 2/- each on a preferential basis.
- Members are being asked to approve this by way of a special resolution.
- The company has applied to BSE Limited and National Stock Exchange of India Limited for in-principle approval for the listing of these shares.
- The EGM is scheduled for Thursday, October 15, 2026 at 10:30 A.M. (IST) through Video Conferencing / Other Audio-Visual Means.
- The remote e-voting period commences on Monday, 12 October 2026 at 09:00 A.M. (IST), and the corrigendum is being sent to all members to whom the EGM notice was sent, before that.
What the corrigendum changes
It sets out two amendments to the EGM notice, and says the members are requested to take note of these amended contents.
1. The table of proposed allottees in the resolution titled "To approve the issuance, offer and allotment of equity shares by way of preferential issue", and paragraph (a) of the Explanatory Statement titled "Particulars of the offer including date of passing of the Board resolution, kind of securities offered, total/maximum number of securities to be issued and the Issue Price".
Earlier, the disclosure against SBI Mutual Fund was made on an aggregate basis. Each of those tables now stands substituted so that every scheme is shown separately:

- SBI ELSS Tax Saver Fund: 6,00,343 shares, Rs. 69,99,99,938
- SBI Infrastructure Fund: 3,43,053 shares, Rs. 39,99,99,798

2. Paragraph (g) of the Explanatory Statement titled "Identity of Proposed Allottees and Ultimate Beneficial Owners".
The earlier disclosure against SBI Mutual Fund and SBI Optimal Equity Fund – Long Term said the disclosure was "N/A since the Proposed Allottee is SEBI Registered Alternative Investment Fund", with this exemption stated as being as per Rule 8 of the Companies (Significant Beneficial Owners) Rules, 2018. That table now stands substituted to give complete disclosure of the investment, management and ownership chain.
For SBI Optimal Equity Fund – Long Term, the corrigendum states that it is a scheme of SBI Alternative Equity Fund, a Category III Alternative Investment Fund registered with SEBI. SBI Funds Management Limited is the Investment Manager of SBI Optimal Equity Fund and is a listed entity (listed on both NSE and BSE). Since the entity that manages and controls the fund is a company listed in India, the ownership chain ends at SBI Funds Management Limited, and identification of the ultimate beneficial owner beyond the listed entity is stated as not required. For SBI Mutual Fund, the amount column in this table reads "N/A since the Proposed Allottee is a Mutual Fund".
What stays the same
- Except as set out in the corrigendum, all other contents of the EGM notice, including the Explanatory Statement, remain unchanged.
- On and from the date of the corrigendum, the EGM notice is to be read together with the corrigendum, and the corrigendum forms an integral part of the EGM notice which has already been circulated to members.
How this reads
This is an update to an already-issued EGM notice rather than a new or separate transaction. The change is one of granularity and completeness of disclosure: the SBI Mutual Fund allotment is now shown scheme by scheme instead of as one combined figure, with each scheme's share count and amount, and the post-issue percentage of the two proposed allottees is set out. The ownership chain of SBI Optimal Equity Fund – Long Term is also described. The resolution itself remains as proposed, seeking members' approval of the preferential issue of 25,72,898 equity shares of face value Rs. 2/- each.
