The Board of Directors, at its meeting held on 28 October 2026, approved amendments to the company's Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information. The intimation was shared under Regulations 8(1) and 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
The amended Code is enclosed with the update and has also been made available on the company's website.
What the Code covers
- Unpublished price sensitive information is to be disclosed to the stock exchanges promptly on a continuous basis, as soon as credible and concrete information comes into being, so that it becomes generally available.
- Such information is to be shared uniformly with all stakeholders, through the stock exchanges and by posting it on the company's website, to avoid selective disclosure.
- If information is disclosed selectively or inadvertently, the company will endeavour to make it generally available as soon as practicable.
- The Compliance Officer has been appointed as the Chief Investor Relations Officer and is responsible for dissemination of information and disclosure of such information.
- Replies to queries on news reports or requests to verify market rumours from regulatory authorities are to be signed by the Compliance Officer and/or Managing Director, with a copy to the other stock exchange where shares are listed.
- Only public information will be given to analysts, research personnel and institutional investors. Any unpublished price sensitive information shared with them should be made public simultaneously at the earliest. Meetings are ideally to have two company representatives present, with discussions recorded and transcripts put on the website.
- Unanticipated questions at such meetings are to be taken on notice, and if an answer would include unpublished price sensitive information, a public announcement is to be made before responding.
The Code was originally approved on May 3, 2023 and has been amended on October 28, 2026.
What this means for investors
