What was shared
Paras Healthcare Limited has disclosed to the National Stock Exchange and BSE that its Board of Directors has formulated and approved a "Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information". The Code was approved by the Board at its meeting held on October 26, 2026, and the intimation to the exchanges is dated October 28, 2026.
What the Code is meant to do
- It sets out how the company will handle and disclose Unpublished Price Sensitive Information (UPSI), that is, information that is not yet public and could move the price of the company's securities.
- UPSI is to be disclosed publicly promptly, once credible and concrete information comes into being, so that it becomes generally available.
- Information is to be disseminated uniformly and universally, to avoid selective disclosure.
- The Company Secretary, or a senior officer designated by the Board, acts as the Chief Investor Relations Officer for dealing with dissemination of UPSI.
Who is covered
- An "Insider" is a connected person, or anyone in possession of or having access to UPSI.
- UPSI is to be handled on a "need-to-know" basis, disclosed only where it serves legitimate purposes, professional duties or legal obligations.
- A legitimate purpose includes sharing in the ordinary course of business with partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals or other advisors or consultants, provided it is not done to evade or circumvent the PIT Regulations.
- Anyone who receives UPSI for a legitimate purpose is treated as an insider and must maintain confidentiality; due notice is to be given to such persons.
Analyst and investor interactions
- Only public information is to be provided to analysts, research personnel and large investors such as institutions, and information shared with them must not be UPSI.
- Transcripts or records of earnings calls are to be made readily accessible on the company's website.
- The exchanges are to be informed of meetings with analysts or investors, and of investor conferences attended by company representatives.
Record keeping
- A structured digital database will record the nature of the UPSI, the names of those who shared it and those with whom it was shared, along with Permanent Account Number or another authorised identifier where PAN is not available.
- The database is not to be outsourced and is to be kept internally with controls such as time stamping and audit trails.
- It must be preserved for not less than eight years after completion of the relevant transactions, and until completion of proceedings if SEBI communicates any investigation or enforcement matter.
When it takes effect
- The Code comes into force from the date of listing of the company's securities on recognised stock exchanges.
- The Code and every amendment to it will be promptly intimated to the stock exchanges, with a simultaneous upload on the company's website. It is available in the investors section at parashospitals.com.
What this means
This is a governance and disclosure-process document. It defines how price-sensitive information is kept confidential inside the company and how it is released to the market, analysts and investors at large. It also places the Code on record with both exchanges.
