What was announced
The Board of Directors of the company, through a circular resolution, considered and approved the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information on October 19, 2026. The intimation to the exchanges was made under Regulation 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
- The original Code was formulated with effect from October 16, 2023.
- The amended Code comes into effect from October 19, 2026.
- The Code is also hosted on the company's website under the Policies, Codes & Other Documents section.
What this Code covers
The Code sets out how the company handles Unpublished Price Sensitive Information, or UPSI — information about the company that is not yet public and which, once public, could materially affect the price of its securities. The Code lists the kinds of events that ordinarily fall in this category, including:
- financial results and dividends;
- change in capital structure, and fund raising proposed to be undertaken;
- mergers, de-mergers, acquisitions, delistings, disposals and expansion of business;
- changes in key managerial personnel, and resignation of a Statutory Auditor or Secretarial Auditor;
- change in rating(s), other than ESG rating(s);
- agreements which may impact the management or control of the company;
- fraud or defaults, and regulatory, statutory, enforcement or judicial action against the company or its directors, key managerial personnel, promoter or subsidiary;
- outcome of litigation or disputes that may have an impact on the company;
- guarantees, indemnity or surety for a third party outside the normal course of business;
- granting, withdrawal, surrender, cancellation or suspension of key licences or regulatory approvals.
How information is to be shared
The Code lays down principles of prompt public disclosure, uniform and universal dissemination to avoid selective disclosure, and handling of all UPSI on a need-to-know basis. It requires the company to respond fairly to queries on news reports and to requests from regulators to verify market rumours, and to ensure that information shared with analysts and research personnel is not UPSI.
Chief Investor Relations Officer
The Board has designated the Company Secretary as the Chief Financial Officer as the Chief Investor Relations Officer, or CIRO, to deal with dissemination of information and disclosure of UPSI. The CIRO coordinates disclosure to stock exchanges, shareholders, analysts and media, and is to be informed immediately if any non-public information is received by an employee or if information is disclosed without prior approval.
Prompt disclosure
The company states that any event bearing on the share price will be disseminated promptly upon conclusion of the event, communicated to the stock exchanges in accordance with the regulations, and published on its website at the same time as it is sent to all exchanges where its securities are listed.
How to read this
This is a policy and process announcement. It sets out the framework for how and when the company discloses price-sensitive information to the market. The update carries no financial figures — no revenue, profit, order book or capital-structure numbers — so it does not by itself change the quantitative picture of the business. Its relevance to investors is mainly procedural: it describes the internal rules the company follows for keeping the market informed and for preventing selective access to sensitive information.
