The 42nd Annual General Meeting
Shareholders met on 29 September 2026 to consider a Special Resolution altering the Memorandum of Association.
Three new business objects
The amendment adds three detailed sub-clauses to the main object clause (Clause III(A)) of the Memorandum of Association:
Sub-clause 10(a) permits the company to generate, develop, establish, operate and maintain solar power plants and other renewable energy projects. It may generate, produce and supply electricity from solar energy to electricity boards, utilities, private or public entities, intermediaries in power transmission and distribution, companies, industrial units, and all types of energy users and consumers. The company may also trade, deal, import, export, install, repair, maintain and service solar energy systems, equipment, devices and components.
Sub-clause 10(b) allows the company to act as consultants and advisors for all types of solar energy and renewable energy plants. It may undertake research and development in solar energy and allied fields.
Sub-clause 10(c) enables the company to acquire concessions or licenses from the Government of India, State Governments, Municipal and Local Authorities, and Statutory bodies. It may also enter into contracts for developing, erecting, installing and operating solar power plants. The company may promote, develop, own, acquire, set up, erect, build, install, commission, construct, establish, maintain, improve, manage, operate and run plants, equipment, sub-stations, workshops, generators, machinery, transmission facilities, electrical equipment, accumulators, repair shops, wires, cables, lamps, fittings and apparatus. It may deal, buy, sell and hire or lease all apparatus required for generation, distribution, supply and accumulation of solar and renewable energy.
