What the board approved
Moneyview Ltd passed a circular resolution on October 20, 2026 covering six items. Every item is subject to the approval of the members, which the company plans to seek through a postal ballot.
- Ratification of the Moneyview Employees Stock Option Plan 2015.
- Ratification of extending the benefits of ESOP 2015 to employees of the company's subsidiaries.
- Ratification of the company providing funds for the purchase of its own shares by the Moneyview Employees Trust, for the benefit of employees under ESOP 2015.
- Alteration of the Articles of Association.
- Reclassification of the authorised share capital and alteration of the Capital Clause of the Memorandum of Association.
- Notice of the postal ballot seeking member approval for these items.
The Notice will be circulated to members within the prescribed timelines and disclosed to the stock exchanges on the date of dispatch.
Articles of Association changes
Three new articles, 82A, 82B and 82C, are proposed to be inserted immediately after Article 82. They create director nomination rights:
- Puneet Agarwal may nominate 1 (one) Director so long as he holds 5% (five percent) of the shareholding on a fully-diluted basis, collectively with Sanjay Aggarwal, and is employed with the company or its subsidiaries.
- Sanjay Aggarwal may nominate 1 (one) Director on the same terms — a 5% (five percent) fully-diluted holding, collectively with Puneet Agarwal, and employment with the company or its subsidiaries.
- The Accel Group may nominate 1 (one) Director so long as it cumulatively holds at least 10% (ten percent) of the shareholding on a fully-diluted basis. This right falls away for an Accel Group entity that ceases to hold shares in the company.
The Accel Group is defined as Accel India VI (Mauritius) Limited, Accel India VII (Mauritius) Limited, Accel Growth IV Holdings (Mauritius) Limited and Accel India IV (Mauritius) Limited. Part B of the existing Articles stands deleted in its entirety.
Authorised share capital
The board approved reclassifying the existing authorised share capital of INR 2,53,15,20,000 into equity share capital. Today that amount is spread across equity shares and multiple series of compulsorily convertible preference shares, including Series A, A1, B, C, C1, C2, C3, D1, D2, D3, E1, E2, E3, E4, E5 and E6.
After the change, the authorised capital of INR 2,53,15,20,000 will consist of 2,53,15,20,000 equity shares of face value INR 1/- each. Clause V of the Memorandum of Association will be substituted accordingly.
How to read this
- These are board approvals that still need a member vote. The postal ballot is the next step where shareholders will decide.
- The authorised capital amount of INR 2,53,15,20,000 stays the same; what changes is how it is divided — all of it into equity shares of INR 1/- each.
- The ESOP items relate to employee stock options, including a trust that buys the company's own shares for employees.
- The nomination rights are contractual-style rights written into the Articles, tied to minimum shareholding thresholds of 5% and 10% on a fully-diluted basis and, for the individual promoters, continued employment.
