Fund raising

The Board approved raising up to Rs. 500 Crores through Non-Convertible Debentures on a private placement basis, in one or more tranches, for various funding requirements. The structure is 50,000 NCDs of Rs. 1,00,000 face value each. Tenure, coupon, security and listing are to be specified in the key information document / finalised at allotment. NCDs are debt, so this route does not dilute existing shareholders but adds borrowing.

New subsidiary in China

A wholly owned subsidiary is proposed to be incorporated in China in the automotive industry, to explore new business opportunities, products, technologies and partnerships. Minda Corporation will subscribe in cash to 100% of the initial paid-up capital, with proposed investment of up to USD 1 Million. Incorporation requires China government approval.

Sale of investment in EVQ Point Solutions

The Board approved sale of the investment in EVQ Point Solutions Private Limited, a step-down associate, held through wholly owned subsidiary Spark Minda Green Mobility Systems Private Limited, which holds a 29.5% equity stake. In the consolidated financials for FY 2025-26, share of profit includes Rs. 3,95,197 from this entity, indicating a very small contribution. Consideration, buyer details and completion date are to be intimated at the time of execution. The transaction is stated as not a related party transaction.

The Board noted the update was made on time with NSE, treated the BSE delay as inadvertent and procedural without malafide intent, advised timely compliance ahead, and noted the fine has been paid.

What to watch
