- Exemption thresholds

Why the company wrote to the exchange
Margo Finance has told BSE that the half-yearly disclosure of related party transactions, required under Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, does not apply to it. The company is claiming the exemption under Regulation 15(2), which carves out listed entities that are small by paid-up capital and net worth.
The two size tests it relies on
- Paid-up equity share capital as on 31 March 2026: Rs. 4.57 Crores, against a ceiling of Rs. 10 Crores.
- Net worth as on 31 March 2026: Rs. 14.24 Crores, against a ceiling of Rs. 25 Crores.
Since both figures sit below the limits, the company states that Regulation 23(9) read with Regulation 15(2) does not apply, and that it is therefore not required to submit the related party transaction disclosure for the half year ended 30 September 2026. The company also states that corporate governance provisions do not apply to it on the same size basis.
What the enclosed certificate shows
The update carries a net worth certificate from AVK & Associates, Chartered Accountants, drawn from the company's audited financial statements. Amounts are stated in lacs. For the latest year the workings are:
- Equity share capital: 457.00
- General reserve: 12.49
- Special reserve: 223.64
- Retained earnings: 697.12
- Share warrant option premium: 33.80
- Total net worth: 1424.05
The certificate also states that other comprehensive income of 5112.20 is not considered in the net worth calculation because it is not created out of profit. It gives the total net worth for the two earlier years as 1102.75 and 813..75 respectively, as printed.
How to read this as a small investor
- This is a size-based exemption, not a transaction announcement. The update sets out which disclosure requirement applies and the figures used to test it.
- The exemption is available because the company is below both ceilings, and the certificate is the supporting evidence for the net worth figure.
- Investors relying on periodic related party disclosures should note that the company's position is that these do not apply to it at its current size.
The letter is signed by Krishna Makwana, Company Secretary, and is dated 5 November 2026.
