What was allotted
The company has allotted 16,21,000 fully convertible warrants on a preferential basis at an issue price of ₹ 566 per warrant. The issue price is inclusive of both the Warrant Subscription Price and the Warrant Exercise Price.
The allotment follows the Board resolution passed at its meeting held on August 13, 2026 and the special resolution passed by the members through Postal Ballot dated September 17, 2026. The Operation Committee passed its resolution on October 13, 2026.
Who received the warrants
- Mr. Rajendra Mutha (Promoter): 75,000 warrants; ₹ 1,06,12,500 received towards the Warrant Subscription Price
- Krsna Diagnostics (Mumbai) Private Limited (Promoter Group entity): 15,46,000 warrants; ₹ 21,87,59,000 received towards the Warrant Subscription Price
The company has received 25% of the Warrant Issue Price, that is ₹ 566 per warrant, aggregating to ₹ 22.94 crore from the allottees.
How the conversion works
- Each warrant is convertible into one fully paid-up equity share of the company of face value ₹ 5 each, at ₹ 566 per share, including a premium of ₹ 551 per share.
- The amount paid against each warrant will be adjusted against the issue price of the resultant equity share.
- The balance 75% of the Warrant Issue Price is payable on conversion.
- Warrants can be converted in one or more tranches, at any time on or before the expiry of 18 months from the date of allotment, that is October 13, 2026.
- If the right attached to the warrants is not exercised within 18 months, the unexercised warrants lapse and the amount paid on them at subscription stands forfeited.
Effect on shareholding
As the company has allotted convertible warrants, there is no change in the paid-up share capital of the company at this stage.
The update also shows the promoter holding before and after the preferential allotment
- Mr. Rajendra Mutha: 80,29,920 shares (24.75%) before; 81,04,920 shares (23.11%) after
- Krsna Diagnostics (Mumbai) Private Limited: 7,65,685 shares (2.36%) before; 23,11,685 shares (6.59%) after
- Total Promoter and Promoter Group: 87,95,605 shares (27.11%) before; 1,04,16,605 shares (29.70%) after
The percentage in the post-allotment column is calculated on the assumption that all the currently outstanding convertible warrants of the company are fully converted into equity shares.
