What was announced
Hittco Tools Limited has informed BSE that a meeting of its Board of Directors is scheduled to be held on Thursday, October 22, 2026. The intimation was shared under Regulation 29(1)(d) of the SEBI LODR Regulations, and the Board will consider and transact nine items of business.
What the Board will consider
- Alteration of the Main Object Clause of the Memorandum of Association of the Company, subject to the approval of the Members and such other statutory, regulatory and other approvals as may be required.
- A proposal for raising of funds for augmenting the financial resources of the Company, by way of issue and allotment of Equity Shares, Convertible Equity Warrants and/or any other securities, or through such other permissible mode(s), as may be decided by the Board of Directors.
- Change of the name of the Company, subject to the approval of the Members and other approvals as may be required.
- Alteration of the Memorandum of Association and Articles of Association consequential to the proposed changes.
- Formation/incorporation of a subsidiary in the United Arab Emirates (UAE), subject to applicable laws, regulatory requirements and other approvals.
- Proposed acquisition of a stake in an unlisted company by utilising the funds raised by the Company, subject to obtaining the requisite approvals of the Members, the Stock Exchange(s) and such other regulatory authorities as may be applicable.
- Convening an Extra-Ordinary General Meeting (EGM) of the Members to seek their approval for the aforesaid matters.
- Appointment of a Scrutinizer for conducting the voting process at the proposed EGM.
- Any other business, with the permission of the Chairperson.
Trading window
In line with the applicable provisions of the SEBI LODR Regulations and the Company's Code of Conduct to Regulate, Monitor and Report Trading by Insiders, the trading window for dealing in the securities of the Company will remain closed for all Insiders, including Designated Persons, their immediate relatives and all other persons covered under the Code. The window remains closed from October 16, 2026, and will reopen after the expiry of the prescribed period following the conclusion of the Board Meeting.
How to read this
- Every item is at the consideration stage: the update states the Board will consider and approve, or consider and evaluate, these proposals. Several of them are expressly subject to the approval of the Members and to other statutory, regulatory and other approvals as may be required.
- On the fund raise, the update lists possible instruments — Equity Shares, Convertible Equity Warrants and/or any other securities — or such other permissible mode(s), as may be decided by the Board of Directors.
- The stake purchase is described as a proposed acquisition in an unlisted company, to be funded by utilising the funds raised by the Company, and is subject to approvals of the Members, the Stock Exchange(s) and other regulatory authorities.
- The Main Object Clause and name changes would need Member approval, which is why the Board will also consider convening an EGM, along with appointing a Scrutinizer for the voting process.
What this can mean for investors
Taken together, the agenda points to a broader corporate exercise: a possible change in what the Company's objects permit, a possible renaming, a possible fund raise, a possible overseas subsidiary, and a possible stake purchase in an unlisted company. What actually proceeds — and in what form, size or timeline — will depend on the Board's decisions on October 22, 2026 and on the approvals that follow. Until those decisions are taken and disclosed, the update sets out proposals for consideration rather than confirmed actions.
