What was shared
Hitech Corporation informed the exchanges under Regulation 30 of SEBI LODR that it received letters dated 25th September, 2026 from BSE Limited and the National Stock Exchange of India Limited granting in-principle approval for the proposed voluntary delisting of its equity shares, under Regulation 12 of the SEBI (Delisting of Equity Shares) Regulations, 2021.
Conditions set by BSE
- Final delisting application to be made to the concerned recognised stock exchange within one year of passing the special resolution.
- Prior approval of all recognised stock exchanges to be obtained.
- The company must confirm there is no litigation or action pending against it relating to its activities in the securities market or any other matter having a material bearing on shareholders' interests.
- BSE may withdraw the in-principle approval later if information submitted is found incomplete, incorrect, misleading or false.
Conditions set by NSE
- In-principle approval must be sought from all recognised stock exchanges where the shares are listed.
- The company, the Acquirer and the Manager to the delisting offer must comply with the Delisting Regulations, 2021.
- NSE clarified that this approval shall not be construed as final approval for delisting.
What it means for shareholders
Voluntary delisting means the promoter/acquirer intends to buy out public shareholders and remove the shares from exchange trading. This step confirms both exchanges are satisfied with the application so far, and the process moves to the next stages, which under the Delisting Regulations typically involve a reverse book building exit offer and a final application. The BSE application was received on July 10, 2026.
The update was signed by Hetali Mehta, Company Secretary and Compliance Officer.
