An internal disclosure policy, not a business event
The update is the company's updated Code of practices and procedures of fair disclosure of unpublished price sensitive information (UPSI). It is a conduct document that governs how information reaches the market, and is effective from October 28, 2026.
What the Code sets out
- Prompt public disclosure of UPSI to the stock exchanges where the shares are listed, and at the same time on the company's official website for investors, members and the public.
- Selective disclosure of UPSI is strictly prohibited; information must be disseminated uniformly and universally.
- Disclosure of material, non-public information through social media platforms or messaging applications is not permissible.
- If price-sensitive information is disclosed selectively, whether inadvertently or otherwise, the CIRO and the Company Secretary and Compliance Officer must be notified immediately, and full disclosure must be made within 24 hours of discovering the selective disclosure.
- If information is accidentally disclosed without prior approval of the authorised spokesperson, the Compliance Officer is to be informed immediately. If the information is material and non-public, it must be made generally available promptly and not later than 24 hours after discovering the unintentional disclosure.
Who is responsible
- The Board may designate a senior officer as the Chief Investor Relations Officer (CIRO). In the absence of a CIRO, the Chief Financial Officer is deemed to be the CIRO.
- The Company Secretary and Compliance Officer deals with dissemination of information and disclosure of UPSI to the stock exchanges, subject to prior consultation with the Chief Executive Officer, Chief Financial Officer or the CIRO, and is authorised to make statutory disclosures.
- Authorised spokespersons include the Executive Chairman, Whole-time Director, Chief Executive Officer, Chief Financial Officer, CIRO, Chief Business Officers and the Head of Corporate Communication, who may designate other officers.
Interaction with analysts and the media
- Only publicly available information is to be given to analysts, research personnel, institutional investors and other market participants.
- Unanticipated questions may be taken on notice and answered later; if the answer would need UPSI, the company must first disclose it to the stock exchanges and make it publicly available.
- The Company Secretary and Compliance Officer is to respond promptly to stock exchange queries and requests to verify market rumours after consultation with the CEO, CFO or CIRO. The company will not comment on every market rumour unless required under SEBI regulations.
How to read this
This is a governance and compliance update about the process for sharing information with the market. It sets out timelines of 24 hours for correcting selective or accidental disclosure and names the officers responsible. It does not by itself announce any financial result, order, transaction or capital action.
