An authorisation for disclosures

HD Fire Protect has told the exchanges that its Board of Directors has authorised the company's Key Managerial Personnel to decide whether an event or information is material, and to make the disclosures to the stock exchanges that follow from that decision. The intimation is made under Regulation 30(5) of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, read with the company's own policy for determining materiality of information.

Who is authorised

The update also states that the information, along with the materiality policy, is available on the company's website.

What this means in simple terms

Listed companies must inform the stock exchanges promptly about events that could matter to shareholders — things such as large orders, plant shutdowns, fund-raising, key management changes and so on. Someone inside the company has to decide, on a given day, whether a particular development is important enough to be disclosed. This update names the people who have been given that decision-making authority.

How to read it

This is a governance and procedure intimation. It tells you who is responsible for disclosure decisions; it does not itself report any event, transaction, order or financial result, and it carries no figures on the company's operations or finances. It should be read as an update on how the company has organised its disclosure responsibilities.
