In simple terms
An amalgamation is a merger: here, two companies are proposed to be merged with and into a third. Alcon Builders and Engineers Private Limited and Jogbani Highway Private Limited are the transferor companies, and GPT Infraprojects Limited is the transferee company. The appointed date, 1 April 2026, is the date from which the scheme is proposed to operate. Approval at these meetings is one step in the process: the scheme, if approved at the meetings, remains subject to the subsequent approval of the NCLT and any other approvals as may be required.

The notice encloses the explanatory statement, the NCLT order dated 15 September 2026, the scheme of amalgamation, the reports adopted by the boards of the transferor companies and the transferee company under Section 232(2)(c), the shareholding pattern of the transferee company (pre-scheme and post-scheme) as on 30 September 2026, the statutory auditors' certificate that the accounting treatment is in conformity with the accounting standards, the audited financial statements for the financial year ended 31 March 2026, and the limited review report for the period ended 30 June 2026.
