What shareholders are being asked to decide
- The National Company Law Tribunal, Ahmedabad Bench, by an order dated October 7, 2026 read with a corrigendum order dated October 9, 2026, has directed Ganesh Housing Limited to convene a meeting of its equity shareholders, which also includes public shareholders.
- The purpose is to consider, and if thought fit, approve the arrangement embodied in the Scheme of Arrangement between Gatil Properties Private Limited (described as the Transferor Company) and Ganesh Housing Limited (described as the Transferee Company) and their respective shareholders.
- The resolution, if passed, approves the Scheme and authorises the Board to carry out all acts needed to implement it, including accounting entries and accepting modifications required by the NCLT.
Meeting and voting details
- Meeting date and time: Friday, November 27, 2026 at 12:00 Noon IST (1200 hours), held through Video Conference/Other Audio-Visual Means. Physical attendance has been dispensed with and proxies are not available for this meeting.
- Remote e-voting: from Saturday, November 21, 2026 at 9:00 a.m. IST (0900 hours) to Thursday, November 26, 2026 at 5:00 p.m. IST (1700 hours).
- Cut-off date for deciding who can vote: Thursday, November 19, 2026.
- E-voting will also be available during the meeting. A shareholder can use only one mode per EVSN; if votes are cast in both modes, the remote e-voting vote prevails and the vote cast at the meeting is treated as invalid.
- Results, including separate results for public shareholders, are to be announced on or before close of business hours on Saturday, November 28, 2026.
- Mr. Harnam Singh Thakur, Ex-Member (Judicial) of the NCLT, has been appointed Chairman of the meeting; Mr. Devansh G. Ramakrishnan, Advocate, is the scrutinizer.
What approval requires
- The Scheme is considered approved by equity shareholders if the resolution is approved by a majority of persons representing three-fourth in value of the equity shareholders voting through remote e-voting or e-voting during the meeting.
- In addition, the Scheme will be acted upon only if the number of votes cast by public shareholders in favour of the resolution is more than the number of votes cast against it.
- The quorum for the meeting is 30 (Thirty) equity shareholders; shareholders attending through VC/OAVM count towards it. If quorum is not present, the meeting is adjourned by half an hour and those present are deemed to constitute the quorum.
- Shares held as on the cut-off date carry the voting rights, in proportion to the shareholder's share in the paid-up equity share capital.
What happens after the vote
- The Scheme, if approved by the equity shareholders at the meeting, will be subject to the subsequent approval of the NCLT.
- The scrutinizer will submit a consolidated report on votes cast in favour and against, invalid votes, and whether the resolution is carried.
How to read this as an investor
- This is a notice of a court-convened meeting, so it is a procedural step in the arrangement process rather than the completion of it. The Scheme becomes effective only after the shareholder vote and the subsequent NCLT approval.
- The public shareholders' vote is counted separately and has its own condition: votes in favour must outnumber votes against.
- Shareholders whose names appear in the register of members or beneficial owners as on the cut-off date can vote; the notice also lists the documents that are open for inspection and the email addresses for queries and speaker registration.
