Who can vote
- The cut-off date is 19th October, 2026. Members whose names appear in the register of members / register of beneficial owners as on that date are eligible to cast their votes on the resolutions.
- A person who is not a member on the cut-off date should treat the notice for information purposes only.
- Voting rights are in proportion to the share of the paid-up equity share capital as on the cut-off date.
- In case of joint holders, the member whose name appears first in the order of names in the register of members is entitled to vote.
- The facility for appointment of proxy is not available for this EGM, since it is being held through VC/OAVM; members attending through VC/OAVM are counted for reckoning the quorum.
Voting window and channels
- Remote e-voting period: from Friday, 23rd October, 2026 09:00 a.m. IST and ends on Sunday, 25th October, 2026 5:00 p.m. IST. The remote e-voting module is disabled by CDSL thereafter.
- Members holding shares in physical or dematerialised form as on the cut-off date may cast their vote electronically.
- E-voting during the EGM is in addition to remote e-voting, for members present through VC/OAVM who have not cast their vote through remote e-voting and are otherwise not barred.
- Members who have voted through remote e-voting may attend the EGM but are not eligible to vote at the EGM.
- Once a vote is cast, the member is not allowed to change it subsequently.
- The VC/OAVM participation facility is available for 1000 members on a first come first served basis. This does not include large shareholders (holding 2% or more shareholding), promoters, institutional investors, directors, key managerial personnel, chairpersons of the Audit Committee, Nomination and Remuneration Committee and Stakeholders Relationship Committee, auditors etc., who are allowed to attend the EGM without restriction on account of first come first served basis.
Scrutiny and results
- The Company has appointed Mr. Martinho Ferrao, Practising Company Secretary, as the Scrutinizer for scrutinizing the remote e-voting process as well as voting at the EGM.
- The Scrutinizer will submit his report to the Chairman within 2 (two) working days of the conclusion of the EGM; the Scrutinizer's decision on the validity of votes cast is final.
- The resolutions, if approved by the requisite votes of shareholders by means of electronic voting, shall be deemed to have been passed on the date of the EGM, i.e. 26th October, 2026.
- The results of the e-voting, along with the Scrutinizer's Report, will be placed on the Company's website and the CDSL website, communicated to the stock exchanges where the equity shares are listed, and displayed at the registered office.
