Fusion CX Ltd has written to BSE and NSE under Regulation 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015, enclosing the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information that it has framed under Regulation 8(1) of the same regulations.
What the intimation contains
- The Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information, referred to as the Fair Disclosure Code.
- The Code is also hosted on the company's website.
- Approval authority: the Audit Committee and Board of Directors.
- Date of approval and effective date: 11 April 2025.
- Document version: Version 1.0.
What the Code sets out to do
- Keep unpublished price sensitive information, or UPSI, confidential and prevent its misuse.
- Disclose such information in a timely and adequate manner, and maintain uniformity, transparency and fairness in dealing with all stakeholders.
- Restrict sharing of UPSI to a need-to-know basis, for legitimate purposes, performance of duties or discharge of legal obligations.
- During interactions with the investor community, ensure that no UPSI is shared selectively with any one analyst or group of investors to the disadvantage of others.
- If UPSI is disclosed selectively or inadvertently at an analyst meeting or investor conference, the Code requires it to be promptly communicated to the stock exchanges where the company's securities are listed, and material content of such communication to be put on the company's website in the form of FAQs or another appropriate manner.
How UPSI is defined
The Code defines UPSI as any information relating to the company or its securities that is not generally available and which, upon becoming generally available, is likely to materially affect the price of the securities. Examples listed include:
- Financial results and dividends
- Change in capital structure
- Mergers, de-mergers, acquisitions, delisting, disposals and expansion of business
- Innovations in AI-driven customer solutions, such as voice bots or omnichannel platforms
- Changes in key managerial personnel
The definition adds that UPSI is not restricted to these events and may include other direct or indirect information relating to the company or its securities.
Other defined terms
- Generally Available Information means information accessible to the public on a non-discriminatory basis; information published on stock exchange websites or the company's website is ordinarily treated as generally available.
- Compliance Officer means a senior officer designated by the Board for ensuring compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015; unless the Board designates someone, the chief financial officer is deemed to be the Compliance Officer.
How a retail investor can read this
This is a governance and disclosure-policy intimation rather than an earnings or business announcement. It indicates that the company has a written framework for handling confidential price-sensitive information and for disclosing it to the market in a uniform way. The content is procedural, so it does not carry revenue, profit, order or shareholding data.
