Two things came out of the same Board meeting held on 31st October 2026: a senior management change and the September-quarter financial results.

- The Board meeting commenced at 12:30 PM and concluded at 02:30 PM (IST).
- The Company's business is the marketing of dry cell batteries, rechargeable batteries, flashlights and lighting products, which come under a single business segment known as Consumer Goods.

Auditor's emphasis of matter
- The Competition Commission of India issued an order dated April 19, 2018 on contravention of the Competition Act, 2002, imposing a penalty of Rs. 171.55 Crores on the Company.
- On the Company's appeal, the National Company Law Appellate Tribunal granted a stay on the penalty, subject to deposit of 10% of the penalty amount with the NCLAT Registry, which has since been deposited.
- The Company has legal advice that the amount finally imposed cannot be reliably estimated at this stage, and hence no provision is considered necessary. The auditor's conclusion is not modified in respect of this matter.
Noida plot sale
- An agreement for sale and transfer of the leasehold rights in Plot B2 at the Noida plant was entered into during the financial year 2025-26 at a total consideration of Rs. 135.45 crores, and an advance of Rs. 44.09 crores had been received.
- Registration/transfer of the property was completed on October 13, 2026 on receipt of balance consideration, which is after the reporting date, so no accounting adjustment for the sale has been made in these results. The carrying value of Rs. 6.09 crores continued to be classified as 'Assets held for sale' as at September 30, 2026.
Employee stock options
- During the quarter ended June 30, 2026, the Nomination and Remuneration Committee approved the grant of 10.55 lakh stock options to eligible employees under the Employee Stock Option Plan 2026.
- A share-based payment expense of Rs. 2.62 crores was recognised for the half year, comprising Rs. 1.31 crores each in Q1 and Q2 of FY 2026-27.
What a retail reader can take away
- The management change is a designation of an existing senior sales executive as Senior Management Personnel, effective immediately.
- The standalone and consolidated revenue and profit figures for the September 2026 quarter are higher than the same quarter a year earlier.
- The CCI penalty of Rs. 171.55 Crores remains under appeal with a stay in place and no provision in the accounts, so its final money impact is not yet certain.
- The Noida property sale is reflected as completed only after the quarter ended, so its accounting effect would come in later periods.
