Two decisions were taken at the board meeting held on October 14, 2026.
Acquisition of a stake in Skizzle
- The board approved the acquisition of a 49.00% stake in Skizzle TechnoIabs India Private Limited from its existing shareholder(s).
- Aggregate consideration: not exceeding Rs. 2 crore (Rupees Two Crores only).
- An earlier intimation dated May 18, 2026 referred to a proposed investment of up to Rs. 2 crore for acquiring up to 49.00% in Skizzle. The board has now approved acquiring that stake from the existing shareholder(s) instead of making a fresh investment; the amount and the 49.00% level are unchanged.
- Completion is to happen in one or more tranches, on or before March 31, 2027, subject to completion of due diligence, execution of definitive documents and receipt of applicable approvals.
- After the acquisition, Skizzle would become an Associate Company.
- The transaction is not a Related Party Transaction, and the Promoters, Promoter Group and Group Companies have no interest in it.
Divestment of the stake in Inexture
- The board considered and approved divesting the Company's entire 49.18% stake in Inexture Solutions Limited, an Associate of the Company.
- After completion of the transaction, Inexture will cease to be an Associate of the Company.
- The agreement for sale is to be entered into on or before October 26, 2026, and completion of the sale/disposal is expected within 60 (Sixty) days.
- Consideration: not exceeding Rs. 1.02 Crores.
- The proposed buyers are Individual(s) and do not belong to the promoter and/or promoter group. The transaction would not fall within related party transactions, and the Promoters / Promoter group / group companies do not have any interest.
- Inexture's turnover was Rs. 1,902.88 Lakhs as on March 31, 2026 and its net worth was Rs. 195.17 Lakhs as on March 31, 2026. Being an associate company, the amount and percentage of the turnover or revenue or income and net worth are not considered for consolidated purpose.
What changes for the company's list of associates
- Skizzle is to be added as an Associate Company once the acquisition is completed.
- Inexture is to be removed as an Associate Company once the sale is completed.
- Both are subject to the conditions set out above, including due diligence, definitive documents and applicable approvals.
