What was approved
At the 32nd Annual General Meeting, held on Monday, 28 September 2026 at 11:00 A.M. (IST) through video conferencing, shareholders approved two items:
- Adoption of a new Memorandum of Association (MOA) as per Table A of Schedule I of the Companies Act, 2013.
- Adoption of a new Articles of Association (AOA) as per Table F of Schedule I of the Companies Act, 2013.
Details of the changes
- The existing Object Clause (Clause III), which contained the main and ancillary objects, has been replaced with a new Object Clause aligned with Table A.
- The existing AOA has been replaced in entirety with the new AOA, in substitution of the old one.
- The new AOA incorporates provisions on share capital, general meetings, voting rights, board proceedings and other corporate governance matters as per the Companies Act, 2013.
- The new AOA has been restructured and aligned with the Act, the Secretarial Standards issued by the Institute of Company Secretaries of India, and other applicable laws.
