What was approved
The Board of Directors of Cineline India Ltd, at its meeting held on 2 November 2026, approved the formulation of the "Cineline India Limited - Employee Stock Option Scheme, 2026" (Cineline - ESOP 2026). The scheme is framed in terms of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 and is subject to the approval of members at the ensuing general meeting and such other approvals as may be required.
Size of the scheme
- The Board has the authority to grant not exceeding 8,00,000 (Eight Lakhs Only) employee stock options, in one or more tranches, to eligible employees as determined by the Nomination and Remuneration Committee.
- These options in aggregate shall be exercisable into not more than 8 lakh (Eight Lakhs Only) equity shares of face value of Rs. 5 each, fully paid-up.
Key terms
- Pricing: the exercise price will be determined by the NRC and shall not be less than the face value of the equity shares and not more than the closing market price on the previous day of the date of grant.
- Vesting: not earlier than a minimum of 1 year and not later than a maximum of 5 years from the date of grant.
- Exercise window: begins from the date of vesting and expires on completion of 3 years from the respective vesting date, or such shorter period as the committee may prescribe.
- Lock-in: shares arising from the exercise of vested options are not subject to any lock-in from the date of transfer of such shares.
- Who is covered: the scheme applies to the Company and its employees, as well as to group, subsidiary, joint venture and associate companies in India or abroad, if any, and their eligible employees or directors. The specific employees and eligibility criteria will be decided by the NRC on the management's recommendation.
- Administration: the Nomination and Remuneration Committee, also designated as the Compensation Committee, will administer the scheme, and its interpretation will be final and binding.
How to read it
An employee stock option gives an employee the right, but not an obligation, to buy shares at the exercise price after the options vest, within the exercise period, subject to payment of the exercise price and any tax arising on it. If all the options are granted and exercised, up to 8 lakh new equity shares would be issued — the maximum size stated in the scheme. The actual number granted, the employees covered and the exercise price will be decided by the NRC over time.
Status
The scheme has been approved by the Board and will become operational after members' approval at the ensuing general meeting. The update states that options vested are not applicable at this stage, and that further disclosures will be made as the Company progresses on the ESOP.
