Exchanges decline promoter group re-classification request
Chalet Hotels has informed the stock exchanges that its application to move four entities out of the 'promoter group' category and into the 'public' category has not been allowed.
The request had come from Sundew Real Estate Private Limited, Pramaan Properties Private Limited, Content Properties Private Limited and Sycamore Properties Private Limited. These entities had written to the company after a change in their respective shareholdings, and the company had shared the requests with the stock exchanges seeking a no-objection, on the basis that these entities no longer met the test of 'promoter group' under Regulation 2(1)(pp) of the SEBI ICDR Regulations, 2018. The company had earlier intimated the exchanges about this on January 19, 2026 and May 11, 2026.
Why the exchanges declined
The exchanges, by their letters dated October 7, 2026, stated that the majority shareholder of these entities is Mindspace Business Parks REIT, whose unitholder/sponsor are individuals who, together with their associated entities, hold a majority shareholding in the Company. On that basis, the conditions prescribed under Regulation 31A(3)(b) of the SEBI LODR Regulations were not met, as per the exchanges.
What happens now
- The company will continue to include these four entities as part of its Promoter Group.
- The earlier requests stand not allowed, so the category of these entities remains as it was before the request was made.
What re-classification means
Re-classification, when allowed, moves a set of shareholders from the 'promoter group' category into the 'public' category. Here the exchanges have not allowed that shift, so the holding of these four entities stays within the Promoter Group category.
The company has said this disclosure is also being placed on its website, and has asked the exchanges to take it on record.
