What is being put to vote
- To raise capital by way of a Qualified Institutions Placement (QIP) to eligible investors, through the issue of eligible securities to Qualified Institutional Buyers (QIBs).

- A minimum of 10% of the eligible equity shares shall be allotted to mutual funds.
- Since the issue size exceeds INR 100 crores, a SEBI-registered external credit rating agency will be appointed as the Monitoring Agency to monitor the use of proceeds.
- The tenure of convertible or exchangeable eligible securities issued through the QIP shall not exceed sixty months from the date of allotment.
- The eligible securities allotted shall not be eligible to be sold by the allottee(s) for a period of one year from the date of allotment, except on a recognised stock exchange.
- The resolution notes that the net proceeds from the issue of the eligible securities would be utilised as per the objects stated in the explanatory statement.

- The EGM will be held on Wednesday, 28 October 2026 at 04:00 PM IST through video conferencing / other audio-visual means.
