- Up to 96,00,000 fully paid-up equity shares of face value Rs. 10/- each, on a preferential basis to promoter and promoter group allottees, for consideration other than cash.
- The consideration is conversion of the existing unsecured loan given by the promoter and promoter group, aggregating up to Rs. 9,60,00,000/-.
- The proposed allottees are J K Chaturvedi (HUF), Jaykishor Chaturvedi, Siddharth Chaturvedi, Ankur Chaturvedi, Brijlaxmi Leasing And Finance Limited, World Tradimpex Limited and JKE Polymers Private Limited, each shown as promoter and promoter group in both current and proposed status.
- The shares will be fully paid up at the time of allotment and will rank pari-passu with the existing equity shares.

- Issue price Rs. 10/- per warrant, aggregating up to Rs. 10,00,00,000/- for cash.
- The warrants can be exercised in one or more tranches within 18 months from the date of allotment.
- The warrant price is payable partly at the time of subscription and allotment, and the balance on exercise.
- Warrants not exercised within 18 months lapse, and the amount paid on them stands forfeited by the company.
- The proposed allottees are the same promoter and promoter group names as in the loan-conversion issue.
Equity shares to the non-promoter public category group
- Up to 40,00,000 equity shares on a preferential issue basis to the non-promoter public category group, for cash consideration.
Terms common to the preferential issues
- The Relevant Date for determining the floor price is fixed as Wednesday, October 7, 2026.
- Allotment will be only in dematerialised form, and the equity shares issued will be listed on BSE.
- The shares allotted, and the allottees' pre-preferential shareholding, are subject to a lock-in period as prescribed under the SEBI (ICDR) Regulations, and cannot be sold, transferred or encumbered in any manner during that period, except as permitted.
- Warrant holders have no rights akin to shareholders until the warrants are exercised and equity shares are allotted.
All three items are special resolutions, so they require the approval of shareholders at the EGM before they take effect.
