What was approved
At a Board meeting held on September 28, 2026 (10:48 A.M. to 11:05 A.M.), two proposals were approved.
1) Stake purchase in Buildmex-Infra
- Target: Buildmex-Infra Private Limited (BIPL), already a material subsidiary, in infrastructure and construction materials trading and supply.
- Seller: existing shareholder Mr. Balavignesh Subramani.
- Shares: 16,000 equity shares, representing 16% of BIPL's equity share capital.
- Consideration: INR 60 crore (subject to closing adjustments), in cash.
- Timing: acquisition will be effected on or before September 30, 2026.
- Stated as not a related party transaction; no governmental or regulatory approvals applicable.
- Stated object: increasing the Company's ownership and economic interest in the material subsidiary and participating more significantly in its future growth.
Buildmex background
- Incorporated July 26, 2021.
- Business: trading, procuring, supplying and distributing raw materials for infrastructure, buildings and construction.
- Turnover: Rs 17.93 crore in 2023-24, Rs 70.36 crore in 2024-25, Rs 179.03 crore in 2025-26.
2) Corporate Guarantee for subsidiary's NCDs
- Beneficiary: Lionheart Trading Private Limited (LTPL), formerly Arisinfra Trading Private Limited, a wholly owned and material subsidiary.
- The Company shall provide a Corporate Guarantee in respect of Senior, Secured, Unrated, Unlisted, Redeemable Non-Convertible Debentures up to ₹20 Crore to be issued by LTPL in favour of Texterity Private Limited.
- Governed by a Term Sheet executed between the parties along with definitive transaction agreements.
- Promoter/promoter group have no interest; stated to be on an arm's length basis.
- Impact: the guarantee is a contingent liability for the Company; the update states that at this point there is no impact on the Company as the guarantee is to a material wholly owned subsidiary within the consolidated group.
How investors may read it
Buying a further 16% of an already-consolidated subsidiary raises the group's economic interest in a business whose turnover has grown over the last three reported years, using a cash outflow of INR 60 crore. A corporate guarantee does not involve immediate cash outgo, but it creates an obligation that can crystallise if the subsidiary fails to service the NCDs.
