What was approved

What a QIP means
A QIP is a way for a listed company to sell fresh shares only to qualified institutional buyers such as mutual funds, insurers and banks. It brings new money into the company, but because new shares are created, the holding of existing shareholders gets diluted. The issue price will be fixed at such price or prices as permissible under applicable law, inclusive of premium.

- The Board approved a Postal Ballot notice under Section 110 of the Companies Act, 2013 to seek this shareholder approval.
- Aryaman Financial Services Limited appointed as Book Running Lead Manager for the proposed QIP.
- CS Gaurav Thakur of M/s. Thakur G & Co., Practicing Company Secretary, appointed as scrutinizer for the Postal Ballot and remote e-voting process.

How investors may read it
An approval of this kind signals intent to raise institutional capital, with the size capped at Rs. 275 Crore. At this stage it is an enabling approval; the actual number of shares, the issue price and the timing are yet to be determined, and shareholder approval is still pending. The preferential issue, bonus, depository receipt and debt-security disclosure heads were marked Not Applicable, confirming the route chosen is a QIP only.
