An Extra-Ordinary General Meeting is a shareholder meeting held outside the usual annual meeting. This notice sets out the three proposals that shareholders will vote on, along with how the voting will work.

Meeting and voting details

Resolution 1: transactions with Adani New Industries Limited

This is an Ordinary Resolution. It seeks shareholder consent for the Board to enter into, carry out or continue material related party contracts, arrangements or transactions with Adani New Industries Limited, a related party of the Company, and/or entities under common control or associate entities, proposed during FY 2026-27 for the tenure set out in the explanatory statement. The transactions are to be carried out at an arm's length basis and in the ordinary course of business, and the aggregate value may exceed the prescribed thresholds under the SEBI Listing Regulations.

Resolution 2: transactions with Mundra Solar Energy Limited

This is also an Ordinary Resolution, in the same form, covering material related party contracts, arrangements or transactions with Mundra Solar Energy Limited, a related party of the Company, and/or entities under common control or associate entities, proposed during FY 2026-27, again at an arm's length basis and in the ordinary course of business.

Both resolutions also authorise the Board to execute the agreements, documents and instruments needed, and to settle related terms and questions.

Resolution 3: borrowing limit

This is a Special Resolution, which needs a higher level of shareholder approval than an ordinary one. It supersedes an earlier resolution on the subject and allows the Board to raise loans, borrow funds or issue debt securities or debt instruments by private placement, public issue or other permitted modes, in one or more tranches, from banks, financial institutions, corporates or other bodies.

The key point is the ceiling: total borrowings may exceed the aggregate of the Company's paid-up share capital, free reserves and share premium, but the amount borrowed may not exceed what is Rs. 40,000 crore in excess of that aggregate. Temporary loans from the Company's bankers in the ordinary course of business are outside this calculation. The Board is also authorised to fix the interest, repayment and security terms, and to delegate these powers.
