Price Waterhouse Chartered Accountants LLP (FRN: 012754N/N500016) appointed as Statutory Auditors of the Company for a period of 5 consecutive years, from FY 2026-27 till 2030-31.
CS Naresh Verma (FCS: 5403 and CP No.: 4424), Proprietor of M/s Naresh Verma & Associates, appointed as Secretarial Auditor for a first term of five consecutive years, from FY 2026-27 to 2030-31.
Alteration/Modification and Ratification of the Articles of Association of the Company.

Why the statutory auditor is changing

The existing Statutory Auditors, S.R. Batliboi & Associates LLP, will complete their current term upon the conclusion of the 19th AGM, proposed to be held on or before December 31, 2026. The Board, on the recommendation of the Audit Committee, approved Price Waterhouse Chartered Accountants LLP in their place, for a period of 5 consecutive years from the conclusion of the 19th AGM till the conclusion of the 24th AGM.

Price Waterhouse Chartered Accountants LLP is a firm of Chartered Accountants registered with the Institute of Chartered Accountants of India, established in 1991 and converted into a limited liability partnership in 2014.

About the secretarial auditor

CS Naresh Verma is a Fellow Member of the Institute of Company Secretaries of India and an experienced Insolvency Professional, with over 25 years of experience in corporate laws, restructuring and corporate advisory services.
He is a Law Graduate from Delhi University, a member of ICSI-IIP, and has been running his practising firm for the last 25 years.

What happens next

Both auditor appointments are subject to the approval of the shareholders of the Company at the ensuing Annual General Meeting.
The Articles of Association amendment is also subject to shareholder approval and receipt of such regulatory/statutory approvals as may be required under applicable laws.
